Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the PalPhi mobile application and any related services (collectively, the "Service") provided by PalPhi ("we," "us," or "our").

By creating an account or using the Service, you confirm that you have read, understood, and agreed to these Terms, as well as our Privacy Policy, which is incorporated here by reference.

We may update these Terms from time to time. We will notify you of material changes via the app or email. Continued use after changes take effect constitutes acceptance of the revised Terms.

Description of Service

PalPhi is a peer-to-peer Wi-Fi marketplace that connects Hosts — individuals who share their internet connection via a GL.iNet router — with Guests who pay for temporary, private internet access.

PalPhi provides the platform, software, router configuration workflows, and payment infrastructure. We do not own, operate, control, or guarantee the quality of any individual internet connection offered through the platform.

Eligibility

You must be at least 18 years old to use PalPhi. By using the Service, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into a binding agreement
• You are not located in a country subject to a U.S. government embargo or sanctions
• You have not been previously banned from the PalPhi platform

Accounts & Registration

To use PalPhi, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You agree to notify us immediately at support@palphi.com if you suspect any unauthorized use of your account. PalPhi is not liable for any loss arising from unauthorized account access due to your failure to safeguard your credentials.

You may not create multiple accounts, share your account, or use another person's account without permission.

Host Terms

As a Host, you agree to the following:

• You have the right to share your internet connection under your ISP's terms of service
• You will not use PalPhi to share connections on networks where reselling, commercial use, public access, or bandwidth sharing is prohibited without permission
• You will not host from workplace, school, hotel, apartment, HOA, shared, public, or third-party networks unless you have authorization to do so
• You are solely responsible for the performance, availability, safety, legality, and security of your shared connection and physical router setup
• You will not misrepresent the speed, quality, or availability of your connection
• You will not disable, bypass, or materially alter required PalPhi security, guest-network, firewall, or isolation configurations
• You understand that Guest activity may appear to originate from your internet connection or IP address and that you are responsible for reviewing your ISP terms and local obligations
• You understand that earnings are subject to platform fees and applicable taxes
• You are responsible for reporting and paying any taxes on income earned through PalPhi

PalPhi reserves the right to remove any listing that violates these Terms or is otherwise harmful to users.

Guest Terms

As a Guest, you agree to the following:

• You will use shared connections only for lawful purposes
• You are responsible for all activity that occurs during your purchased session
• You will not engage in illegal activity, including unauthorized access, downloading or distributing pirated content, harassment, spam, fraud, malware distribution, or conducting cyberattacks while on a Host's connection
• You will not attempt to access other devices on the Host's local network
• You will not attempt to identify, contact, harass, or bypass restrictions set by Hosts or PalPhi
• You understand that speeds, latency, coverage, uptime, and availability may vary by Host, location, router, ISP, device, and network conditions
• All purchases are final — refunds are issued only at PalPhi's discretion in cases of documented service failure

Network Security & Isolation

PalPhi is designed to separate Host and Guest network traffic through compatible router configurations, guest networks, firewall rules, and platform controls. Guests should not be able to access the Host's private devices or local network, and Hosts should not be able to browse a Guest's network session through PalPhi.

However, no Wi-Fi network, router configuration, software system, or internet service can be guaranteed to be completely secure, uninterrupted, or isolated in every environment. Hosts and Guests are responsible for using strong passwords, keeping devices updated, and following reasonable security practices.

PalPhi may suspend sessions, remove listings, disable routers, or restrict accounts if we detect suspected abuse, unsafe configurations, compromised equipment, fraud, legal risk, or violations of these Terms.

Payments & Fees

PalPhi uses Stripe, Apple Pay, Google Pay, Apple In-App Purchases, or other payment providers where available to process payments. All transactions are subject to applicable payment processor terms. By making a purchase, you authorize PalPhi and its payment processors to charge your selected payment method.

Host earnings are paid out on a rolling basis, minus the applicable PalPhi platform fee, payment processing fees, refunds, chargebacks, taxes, reserves, and any other amounts disclosed in the app. Payout schedules, minimum payout amounts, fee rates, and reserve policies are displayed within the app and may be updated with notice.

Guests pay the price set by the Host at time of purchase. Prices are displayed in USD and include any applicable taxes where required by law.

PalPhi may delay, withhold, reverse, or offset payouts where necessary to investigate fraud, chargebacks, abuse reports, legal requests, account violations, payment processor requirements, or suspected misuse of the Service.

Router Equipment

Hosts are responsible for obtaining, powering, maintaining, updating, and safely operating compatible router equipment unless PalPhi expressly states otherwise in writing. Router pricing, availability, compatibility, shipping, returns, and warranty coverage may be provided by third-party manufacturers or sellers and are subject to their terms.

You may not modify router firmware, network settings, firewall rules, captive portal settings, or security controls in a way that interferes with PalPhi functionality, misleads Guests, compromises security, or violates these Terms.

Prohibited Conduct

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Interfere with, disrupt, or circumvent any security or access controls
• Reverse engineer, decompile, or otherwise attempt to extract the source code of the app
• Use automated bots, scrapers, or scripts to access the platform
• Harass, defraud, or harm other users
• Post false, misleading, or deceptive content or reviews
• Circumvent payment systems or attempt to obtain services without paying
• Use the Service to transmit malware, spam, phishing content, illegal content, abusive traffic, or traffic intended to hide unlawful activity
• Interfere with router isolation, captive portal, access controls, or network monitoring used to operate and protect the Service

Violations may result in immediate account suspension and legal action where appropriate.

Abuse Reports & Legal Requests

If PalPhi receives abuse complaints, DMCA notices, ISP complaints, security reports, chargebacks, law enforcement requests, subpoenas, or other legal notices relating to a Host connection or Guest session, we may investigate and take action we believe is appropriate.

Actions may include preserving records, sharing information as legally required, suspending or terminating accounts, disabling listings, blocking devices, withholding payouts, issuing refunds, or cooperating with service providers, payment processors, ISPs, and law enforcement.

Intellectual Property

All content, trademarks, logos, and software within PalPhi are the exclusive property of PalPhi or its licensors. You may not copy, reproduce, or distribute any part of the Service without our written permission.

By submitting content (such as profile information or reviews) to PalPhi, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content in connection with the Service.

Disclaimers & Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. PalPhi DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

PALPHI DOES NOT WARRANT OR GUARANTEE INTERNET SPEED, LATENCY, BANDWIDTH, COVERAGE, ROUTER COMPATIBILITY, NETWORK AVAILABILITY, ISP PERMISSION, LEGAL COMPLIANCE BY HOSTS OR GUESTS, OR PERFECT SECURITY OR NETWORK ISOLATION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PalPhi SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE GREATER OF $100 USD OR THE AMOUNT YOU PAID TO PalPhi IN THE 12 MONTHS PRECEDING THE CLAIM.

Termination

You may close your account at any time by contacting us at support@palphi.com. PalPhi may suspend or terminate your account, session, listing, router access, or payout eligibility at any time for violation of these Terms, suspected fraud, safety risk, legal risk, chargebacks, abuse complaints, ISP complaints, or for any other reason at our sole discretion.

Upon termination, your right to use the Service will immediately cease. Any outstanding earnings owed to Hosts at the time of termination will be paid out per our standard payout schedule, provided there are no outstanding violations.

Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Los Angeles County, California.

You agree to waive your right to participate in class action lawsuits or class-wide arbitration against PalPhi.
